In an era of self-learning trading agents and machine-learning market-makers, the duty of care must be extended from the ‘person’ to the ‘program.’ We propose the validation of the ‘Algorithmic Fiduciary’ doctrine—a legal framework that holds OSPs responsible for the ethical and

technical design of their algorithms. This doctrine requires firms to demonstrate that their digital architecture is programmed to prioritize the client’s best interests. Relying on human agents to act in ‘good faith’ is no longer a viable defense; firms must ensure their computer infrastructure is ‘safe by design.’ This requires a shift from static financial auditing to dynamic ‘Ethics and Technical Audits’ that certify algorithmic explainability and digital suitability. Furthermore, to address the systemic challenges of the globalized retail market, we advocate for the ‘Great Harmonization’ through a Global Fintech Accord (GFA). This treaty-based agreement would create a ‘Global Securities Sandbox’ where cross-border innovations can be jointly monitored by regulators like SEBI and the SEC. It would establish a ‘Regulatory Passport,’ enabling mutual recognition of standards and reciprocal enforcement protocols to eliminate jurisdictional voids. Ultimately, the future of securities jurisprudence lies in this shift from nationalized, reactive regulation to proactive, global digital governance. By codifying these principles, we can ensure that as world markets reach their highest levels of connectivity, the security of the micro-investor remains formidable and digitally savvy.

The jurisprudential shift from ‘person’ to ‘program’ necessitated by the digital metamorphosis represents a fundamental challenge to traditional notions of agency and liability. In the 20th century, the broker-dealer relationship was grounded in the ‘reasonable person’ doctrine, where the fiduciary’s actions were judged against the standard of a prudent human agent. However, in the 2026 digital regime, the introduction of ‘Agentic AI’—algorithms capable of autonomous market participation—renders this human-centric standard obsolete. The ‘Algorithmic Fiduciary’ doctrine bridges this gap by requiring that the software code itself be evaluated for its impartiality and adherence to best interest standards. Furthermore, the ‘Structural Safety’ approach exemplified by India’s ASBA mechanism underscores a shift in regulatory priorities from behavioral oversight to architectural engineering. By making certain risks, such as the misuse of client funds, technically impossible, the regulator moves from being a ‘punisher’ of failure to an ‘architect’ of success. This ‘Safety by Design’ philosophy represents a rara case where an emerging market’s governance structure is being seriously considered for adoption by developed markets like the United States. As the SEC evaluates the potential for ‘Blocked Amount’ mechanisms to reduce systemic custodial risks, the convergence of these two regulatory philosophies becomes more than an academic possibility—it becomes a necessity for the global financial ecosystem.

Ultimately, the challenge of the ‘Digital Frontier’ lies in the ‘Technological Disparity’ between the regulated and the regulator. While OSPs utilize cutting-edge AI for market-making and user engagement, regulatory agencies often lag behind in their ability to audit these proprietary ‘Black Boxes.’ Addressing this gap requires the establishment of board-level ‘Digital Ethics Committees’ and the mandate for ‘Algorithmic Explainability,’ ensuring that the chain of logic behind every automated recommendation can be scrutinized. Without such interventions, the ‘democratization of finance’ risks becoming a ‘digitization of exploitation,’ where sophisticated algorithms take advantage of the behavioral vulnerabilities of retail investors.
